Terms of Service

These Terms of Service ("Terms") govern access to and use of the software platform, website, and related services (collectively, the "Services") provided by Opal Systems Inc. ("Opal," "we," "us"). By accessing or using the Services, you agree to these Terms on behalf of yourself and any organization you represent ("Customer," "you").
1. The Services
Opal provides a software platform for insurance distribution operations, including communication tooling, transcription, case management, and carrier data connectivity. Opal is a technology provider only. Opal is not an insurance company, agency, broker, or producer, and does not sell, solicit, or negotiate insurance products. You are solely responsible for holding all licenses and satisfying all regulatory obligations applicable to your business.
2. Accounts
You must provide accurate, current information when registering and keep it updated. You are responsible for all activity under your account and for maintaining the confidentiality of credentials. You must be at least 18 years old and authorized to bind the organization on whose behalf you use the Services.
3. Subscriptions and Payment
The Services are offered on a subscription basis, billed in advance per the plan selected at purchase. Fees are stated in U.S. dollars and are exclusive of taxes, which you are responsible for. Subscriptions renew automatically at the end of each billing period unless cancelled before renewal. We may change pricing with at least 30 days' notice, effective at your next renewal. Payments are processed by third-party payment processors; we do not store full payment card numbers.
4. Cancellation
You may cancel your subscription at any time through your account settings or by contacting support@opalnetworks.org. Cancellation takes effect at the end of the current billing period. Refunds are governed by our Refund Policy.
5. Acceptable Use
You agree not to: (a) use the Services in violation of any law or regulation, including telemarketing and communications laws (e.g., TCPA, TSR) and insurance regulations; (b) use the Services to transmit unlawful, infringing, or harmful content; (c) attempt to access accounts or systems without authorization; (d) reverse engineer, copy, or resell the Services except as permitted in writing; (e) interfere with the integrity or performance of the Services. You are solely responsible for obtaining any consents required for call recording and transcription in the jurisdictions where you operate.
6. Customer Data
You retain all rights to data you submit to the Services ("Customer Data"). You grant Opal a limited license to host, process, and display Customer Data solely to provide and improve the Services. You represent that you have all rights and consents necessary to submit Customer Data, including data about your clients and call participants. Our handling of personal information is described in our Privacy Policy.
7. Intellectual Property
The Services, including all software, designs, and documentation, are owned by Opal and its licensors and are protected by intellectual property laws. Except for the limited right to use the Services under these Terms, no rights are granted to you.
8. Third-Party Services
The Services may interoperate with third-party services (e.g., telephony providers, insurance carriers). Opal is not responsible for third-party services, and your use of them is governed by their terms.
9. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPAL DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. OPAL DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE. NOTHING IN THE SERVICES CONSTITUTES LEGAL, COMPLIANCE, OR INSURANCE ADVICE.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OPAL WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA. OPAL'S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO OPAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
11. Indemnification
You will indemnify and hold harmless Opal from claims arising out of your use of the Services in violation of these Terms or applicable law, including claims relating to telemarketing practices, call recording consent, or insurance regulation.
12. Termination
We may suspend or terminate access for material breach of these Terms. Upon termination, your right to use the Services ends; Sections 6–11 and 13–14 survive.
13. Governing Law
These Terms are governed by the laws of the State of Utah, without regard to conflict-of-laws principles. The parties consent to the exclusive jurisdiction of the state and federal courts located in Washington County, Utah.
14. General
These Terms are the entire agreement regarding the Services and supersede prior agreements on that subject. We may update these Terms; material changes will be notified via the Services or email, and continued use after the effective date constitutes acceptance. If any provision is unenforceable, the remainder stays in effect.
